A. Membership
1. The Chancellor of UCD (hereinafter "Chancellor") shall serve as the president of the UCD Faculty.
2. The Faculty Assembly Chair shall serve as the vice-president of the UCD Faculty.
3. The Faculty Assembly Vice Chair shall serve as the parliamentarian of the UCD Faculty.
4. The Faculty Assembly Secretary shall serve as the secretary of the UCD Faculty.
B. Meetings
1. The UCD Faculty shall meet once in the spring semester and on 5-working days’ notice to the UCD Faculty upon the call of the president or vice-president of the UCD Faculty.
2. Dates and times for the spring semester meeting shall be set by the Faculty Assembly Chair in consultation with the Faculty Assembly Executive Committee and the Chancellor. Generally, the annual meeting of the UCD Faculty will be held in March or April.
3. The vice-president of the UCD Faculty shall preside at meetings of the UCD Faculty.
4. At all regular meetings of the UCD Faculty, the following items of business shall appear on the agenda:
a. announcement of approval of the minutes of the preceding UCD Faculty meeting (minutes are available on the Faculty Assembly Web site and in the Faculty Assembly office)
b. unfinished business
c. president’s report
d. reports of special committees
e. report of the Faculty Assembly
f. reports of Faculty Assembly committees
g. new business
h. question period (all members of the UCD Faculty are entitled to ask questions)
C. A Quorum
1. The quorum, as set forth in the Constitution of the UCD Faculty, shall be comprised of seven percent of the UCD Faculty and the quorum will be established at the commencement of the meeting.

F. Procedures
1. On substantive matters of new business brought to the UCD Faculty, written notice of motion or resolution shall be delivered to the Faculty Assembly Chair and the Faculty Assembly office. Such matters shall be published in the Silver & Gold Record or otherwise distributed to the UCD Faculty at least 5-working days in advance of a UCD Faculty meeting.
2. Reports forwarded from the UCD Faculty to the Chancellor, other administrative officials, or the Board of Regents shall be approved first by the UCD Faculty. UCD Faculty members shall be notified five-working days in advance of discussion, and copies of the report shall be made available to UCD Faculty.
3. All actions taken by the UCD Faculty shall be approved by a majority vote of the members present unless specified otherwise herein. Votes shall be by secret ballot when requested by two or more members of the UCD Faculty.
